Lux Industries to Split into Three Firms with 1:1 Demerger Ratio Announced

Shares of Lux Industries Limited edged higher in Wednesday’s trading after the company announced board approval for a major restructuring, signaling a significant shift in the landscape of one of India’s leading innerwear and hosiery manufacturers. Lux Industries’ stock gained 0.31 percent to trade at Rs. 1,214.00, giving the company a market capitalization of Rs. 3,650.70 crore. The move comes as the firm seeks to reorganize its businesses for operational efficiency and value creation, according to a statement issued by the company.

Under the approved Scheme of Arrangement, Lux Industries will split into three separate entities, each housing a distinct business vertical. Vertical A, home to brands such as Lux Cozi, ONN, Lux Cotts’wool, Lux Mozze, and Lux Parker, will be demerged to form Lux and Cozi Limited. Vertical C, which includes GenX, Lux Classic, Lux Karishma, and Lux Amore, will be transferred to Lux Global Limited. The core Vertical B business - comprising brands such as Lux Venus, Lux Nitro, Lux Inferno, and Lyra - will remain with Lux Industries.

As part of the restructuring, shareholders will retain economic interest in all three entities. For every equity share of Lux Industries held, shareholders will be allotted one share each in both Lux and Cozi Limited and Lux Global Limited, maintaining the same face value of Rs. 2 per share. The transaction involves no cash consideration and is subject to regulatory and other necessary approvals. Management expects both Lux and Cozi Limited and Lux Global Limited, currently wholly owned subsidiaries, to be listed on the stock exchanges following completion of the process.

The demerger stems from what the company describes as commercial, operational, and strategic objectives. The promoter group’s previous in-principle approval in April 2026 and a family settlement agreement set the groundwork for this realignment, aimed at improving business continuity, enhancing administrative efficiency, and boosting shareholder value. The new structure, management says, is designed to provide greater flexibility and sharpened focus for each brand portfolio.

From a financial perspective, Lux Industries reported modest growth in consolidated revenue from operations, which rose 0.78 percent year-on-year to Rs. 609.03 crore in the June quarter of FY27, compared to Rs. 604.33 crore a year earlier. However, revenue declined 30.24 percent sequentially from Rs. 873.01 crore in the preceding quarter. Net profit dipped slightly, falling 0.65 percent year-on-year to Rs. 23.10 crore, while plummeting 51.12 percent from the previous quarter’s figure of Rs. 47.26 crore. The basic earnings per share also slid by 6.12 percent to Rs. 7.36 compared to the same quarter last year. In terms of segment contribution for Q1 FY27, Vertical A generated 47.74 percent of revenue, Vertical B contributed 40.92 percent, and Vertical C accounted for 11.34 percent.

For investors, the demerger is a pivotal development, potentially aiding in clearer assessment of each business’s performance and unlocking value as the new entities begin to chart individual paths. However, the scheme will require various statutory and regulatory consents before coming into effect, with timelines for listing of the demerged entities dependent on the completion of these processes.
